Book Swap Society Host Agreement

1. VOLUNTARY PARTICIPATION & NO COMPENSATION 

Volunteer Host acknowledges that their role as a host is entirely voluntary. Volunteer Host is not an employee, independent contractor, or partner of Book Swap Society LLC. Volunteer Host is not entitled to any compensation, benefits, or rights reserved for Book Swap Society founders or employees, and explicitly waives any claims to such benefits.

2. BRANDING & NAMING RIGHTS

• 2.1. Granted Rights: Volunteer Host is granted the exclusive right to host meetings under the name Book Swap Society, including for social media and promotional materials.

• 2.2. Brand Standards: Volunteer Host agrees to use the official Book Swap Society logos while active as a host. Any changes to the branding must be approved by Book Swap Society via email.

3. HOST CONDUCT & RESTRICTIONS

To protect the integrity of the Book Swap Society community, Volunteer Host agrees to the following:

• 3.1. Authority Limits: Volunteer Host shall not make statements on behalf of Book Swap Society or enter into any agreements or obligations on its behalf.

• 3.2. Sales Promotion: Volunteer Host shall not solicit or promote the sale of products or services at events or online without explicit written permission from Book Swap Society.

• 3.3. Accurate Representation: Volunteer Host must avoid making false statements about their relationship with Book Swap Society or misrepresenting their role. Volunteer Host shall refrain from making misleading, defamatory, or objectionable statements about Book Swap Society. Book Swap Society reserves the right to determine what constitutes such content. Volunteer Host shall not claim to be an active member or host if they are no longer participating.

4. CONFIDENTIALITY & DATA PRIVACY (NDA)

• 4.1. Confidentiality & Intellectual Property: Volunteer Host acknowledges that the Book Swap Society Playbook, Canva templates, operational strategies, and internal guidelines are confidential trade secrets owned exclusively by the Company. Volunteer Host agrees not to share, distribute, or copy these materials for any third party.

• 4.2. Data Privacy: During the course of hosting, Volunteer Host may have access to attendee information (e.g., names on the Eventbrite check-in list). Volunteer Host agrees to keep all attendee information strictly confidential. Volunteer Host shall not copy, save, or use attendee data to contact guests for any personal or third-party commercial purposes outside of official Book Swap Society events.

5. MEDIA, CONTENT, & SOCIAL MEDIA OWNERSHIP

• 5.1. Social Media Accounts: Upon stepping down as a Host, Volunteer Host agrees to transfer ownership and access of any social media accounts created for their local group to Book Swap Society or close the accounts at the Company's direction.

• 5.2. Content Ownership: Any photos, videos, or content captured by the Volunteer Host at official Book Swap Society events and shared with the Company or posted to affiliated social media accounts shall become the property of Book Swap Society LLC. Volunteer Host grants the Company the permanent, royalty-free right to use this media for marketing and promotional purposes.

6. NON-SOLICITATION & BRAND PROTECTION 

Volunteer Host agrees not to use the confidential information, templates, or the local community built under the Book Swap Society name to establish, promote, or solicit attendees for a competing book exchange business or personal venture during their time as a host and for a period of one (1) year following their departure.

7. LIABILITY WAIVER & INDEMNIFICATION 

Volunteer Host agrees to indemnify Book Swap Society against any liabilities or damages resulting from their actions, negligence, or those of their agents during local events. If Book Swap Society faces legal action due to the Volunteer Host's actions, Volunteer Host must cover all related expenses and judgments.

8. TERM & TERMINATION 

This Agreement is at-will. Volunteer Host can end their role as a host at any time. Book Swap Society also reserves the right to remove the Volunteer Host from their position if necessary. Book Swap Society reserves the right to suspend or terminate the Volunteer Host's role immediately for violating the terms of this agreement.
